Acceptance of Terms By accessing or using the PromptRails platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using PromptRails on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, do not use the Service. ## 2\. Service Description PromptRails provides an AI agent orchestration platform including agent management, prompt versioning, execution tracing, data source integrations, and related developer tools (APIs, SDKs, CLI). We reserve the right to modify, update, or discontinue features with reasonable notice. ## 3\. Account Registration You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized use. ## 4\. Your Responsibilities You agree to: - Maintain the security of your account credentials and API keys - Accept responsibility for all activity that occurs under your account - Ensure your use of the Service complies with all applicable laws and regulations - Take responsibility for the content, inputs, and outputs of your AI agents - Not use the Service for any unlawful, harmful, or abusive purpose, including generating illegal content or circumventing safety measures - Not attempt to reverse engineer, decompile, or exploit the Service - Not interfere with or disrupt the Service or its infrastructure ## 5\. Usage Limits and Billing Each plan has defined usage limits for executions, team members, agents, and other resources. Usage beyond your plan's limits may result in throttling or temporary suspension until you upgrade your plan. Paid plans are billed monthly. You authorize us to charge your payment method on a recurring basis. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. Fees are non-refundable except as required by law. ## 6\. Intellectual Property **Your content:** You retain all rights to your data, prompts, agent configurations, and outputs generated through the Service. We do not claim ownership of your content. **Our platform:** We retain all rights to the PromptRails platform, software, documentation, branding, and any improvements or modifications. Nothing in these Terms grants you rights to our intellectual property beyond the limited license to use the Service. ## 7\. Data and Privacy Our collection and use of personal information is described in our [Privacy Policy](/legal/privacy). By using the Service, you consent to the practices described therein. We do not use your prompts, agent outputs, or execution data to train AI models. ## 8\. Third-Party Services The Service integrates with third-party LLM providers (e.g., OpenAI, Anthropic, Google), databases, and other external services. Your use of these integrations is subject to the respective third party's terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of third-party services. ## 9\. Availability and Support We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. Support is provided according to your plan level. ## 10\. Limitation of Liability To the maximum extent permitted by law, PromptRails and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim. ## 11\. Disclaimer of Warranties The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that AI outputs will be accurate, complete, or suitable for any purpose. ## 12\. Indemnification You agree to indemnify and hold harmless PromptRails from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights. ## 13\. Termination Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases. You may request export of your data within 30 days of termination, after which we may delete it. ## 14\. Changes to Terms We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, by email, or through the Service. Your continued use after changes take effect constitutes acceptance of the revised Terms. ## 15\. Governing Law These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware. ## 16\. General - If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. - Our failure to enforce any right does not constitute a waiver of that right. - These Terms constitute the entire agreement between you and PromptRails. - You may not assign or transfer these Terms without our consent. ## 17\.
